EXPLANATORY NOTE This Post-Effective Amendment No. 1 to Registration Statement File No. 333-107438 is being filed by the registrant, Phase III Medical, Inc. (the "Company"), for the purpose of increasing the number of shares of common stock to be issued under the Phase III Medical, Inc. 2003 Equity Participation Plan (the "Plan") by 35,000,000 shares, from 15,000,000 shares to 50,000,000 shares, pursuant to General Instruction E on Form S-8 (Registration of Additional Securities). The stockholders of the registrant approved amending the Plan for this purpose at the annual meeting of stockholders on July 20, 2005.
